Business Valuations and Selling Your Business

Business valuations and selling your business

Valuations of private companies

At Marshall & Co we see a variety of reasons why a business valuation is required, namely marketing a business for sale, establishing a value for a share option scheme and dealing with shareholder disputes.

The valuation of private companies can be a subjective task, so our aim is to provide detailed, yet understandable, valuations that stand up to scrutiny. Combining our abundant experience and the current best practice methods (including the asset, earnings and discounted cash flow models), we produce realistic and reasonable business valuations. Rest assured that our valuations are technical and detailed without being confusing, allowing you to understand everything we write with clarity.

Throughout acquisition and sales negotiations, our clients must often evaluate valuations prepared by other professional advisers. We help our clients to understand these valuations by rewording the jargon, offering them a simple overview or a comprehensive review - both in an easier to understand format.

Shareholder agreements

A shareholders’ agreement is an agreement all or some of the shareholders in a company enter into. It regulates the management of the company, the ownership of shares and the relationship between and the protection of shareholders. It also governs the way in which the company is run.

It is common and useful for a shareholders’ agreement to be combined with a specifically drafted set of articles of association (the written rules about the running of your company), since they (amongst other things) can provide protection to shareholders’ in the case that ‘things go wrong’.

An agreement can provide for many eventualities, including the financing of a company, the management of a company, the dividend policy, the procedure to be followed on a transfer of shares, deadlock situations and valuation of the shares.

Selling your business

Everyone hopes to maintain the same standard of living in retirement as they presently enjoy while working, but to achieve this requires considerable forward planning. There are some important questions you need to ask yourself.

If you are in business, the first thing you need to consider is your exit strategy. Will you withdraw from the business, leaving it for the next generation, or do you hope to sell it? If you intend on the latter, how will you value the business, find a suitable buyer and so on? Are you aware of all the tax implications regarding the types and timings of disposals? We can help you navigate this process.

Pension

provision

Do you have an adequate pension in place? Do you have the right type of pension? Are you aware of all the pension possibilities open to business owners and directors? Are you making full use of all your allowances?

Savings, investments, life assurance and long term care

Do you have the right balance between savings and investments, and is your portfolio split adequately between exposures?

Do you have adequate life assurance, and have you made provision for long term care and medical insurance for you and your family in your later years?

We can help you answer all these questions and recommend solutions tailored to your needs.
